IMPORTANT: PLEASE CAREFULLY READ AND UNDERSTAND THESE OFFICIAL RULES ("OFFICIAL RULES"). THEY CONTAIN AN ARBITRATION AGREEMENT, JURY AND CLASS ACTION WAIVERS, LIMITATIONS ON SPONSOR'S LIABILITY AND OTHER PROVISIONS THAT AFFECT YOUR LEGAL RIGHTS.

Please read these Official Rules before participating in the Meet MrBeast Sweepstakes (the "Sweepstakes"). By participating, you acknowledge that you have read and agree to be bound by these Official Rules and the decisions of Sponsor (as defined herein) which are final and binding, and that you satisfy all eligibility requirements. The Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Facebook, Instagram, TikTok, X or any other social media platform.

INTERNET ACCESS AND A VALID E-MAIL ADDRESS ARE REQUIRED.

  1. Sponsor: LUNCHLY LLC ("Lunchly" or "Sponsor"), 13551 Triton Park Blvd, Louisville, KY 40223.
  2. Administrator: Probability LLC ("Probability" or "Administrator"), 2 Woodstock Meadows Ln, PO Box 1484, Woodstock, NY 12498.
  3. Eligibility: The Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia, who are at least eighteen (18) years of age (or the age of majority in their jurisdiction of residence, whichever is older). Directors, officers, employees, interns, shareholders and contractors of Sponsor, Administrator and any other individual or entity involved in any way with the production or distribution of Lunchly products, and/or participating retail stores selling Lunchly products (collectively, "Sweepstakes Entities") and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, as well as of "MrBeast" (James Stephen Donaldson), are not eligible to participate or win the prize. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three months a year, whether related or not. Void where prohibited by law and subject to all applicable federal, state, and local laws and regulations. Participation constitutes entrant's full and unconditional agreement to these Official Rules and Sponsor's and Administrator's decisions, which are final and binding in all matters related to the Sweepstakes.

    If selected as the potential winner, the entrant and their guest (if they are at least the age of majority in their jurisdiction of residence) will be required to consent to a background check to verify eligibility; and, failure to sign such consents and authorizations and/or to furnish all required information will result in disqualification without compensation of any kind. In addition, Sponsor and Administrator reserve the right in their sole discretion to disqualify the potential winner or their potential guest (without explanation or compensation of any kind) if the results of such background check reveal that potential winner or their potential guest does not meet the Sweepstakes eligibility requirements or has been charged with a felony or a crime of moral turpitude, or any other act that might reflect negatively on Sponsor, Administrator, Beast Industries, MrBeast (James Stephen Donaldson) himself (or pose a threat or risk of any kind to MrBeast/James Stephen Donaldson himself) or any of the Sweepstakes Entities, as determined by the Sponsor or Administrator in their sole discretion. All such decisions of Sponsor and Administrator are final and binding in all respects and not subject to appeal.

  4. Sweepstakes Entry: The Sweepstakes begins at 12:00:01 AM Eastern Time ("ET") on July 8, 2026 and ends at 11:59 PM ET on September 16, 2026 ("Entry Period"). For purposes of these Official Rules, all times and days are Eastern Time. Administrator's computer is the official clock for all matters related to this Sweepstakes.

    There are two (2) ways to enter the Sweepstakes: (A) via Purchase of Eligible Product; or (B) via Mail-in Entry.

    1. Method #1 - Purchase Entry ("Purchase Entry"): Purchase at least one (1) eligible Lunchly product (each an "Eligible Product," collectively "Eligible Products"), in a single transaction, at any retail location in the fifty (50) United States or District of Columbia or any retailer website anytime between July 8, 2026 and September 16, 2026 ("Purchase Period"). See Section 5 below for a list of Eligible Products. You will receive one (1) Purchase Entry per Eligible Product purchased (subject to entry limitations outlined below). After completing your purchase, navigate the Internet to https://lunchly.com/sweepstakes ("Website") and follow these steps:
      1. Complete the entry form including your first name, last name, e-mail address and phone number.
      2. Upload a copy of your proof of purchase (i.e., cash register receipt or online receipt clearly showing the Eligible Product(s) purchased and the quantity of each, the location at which the Eligible Product(s) purchase was made, and the date of purchase.

      Carefully read the Official Rules, then click the check box signifying that you meet the Sweepstakes eligibility requirements and have read and agree to these Official Rules and the Sponsor's Terms of Use (https://lunchly.com/policies/terms-of-service) and Privacy Policy (https://lunchly.com/policies/privacy-policy).

      IF YOU DO NOT CHECK THE BOX INDICATING YOUR AGREEMENT TO THE ABOVE, YOU WILL NOT BE ELIGIBLE TO PARTICIPATE IN THE SWEEPSTAKES BY MEANS OF A PURCHASE ENTRY OR WIN THE PRIZE. DO NOT CHECK THE BOX WITHOUT FIRST REVIEWING THESE OFFICIAL RULES, SPONSOR'S TERMS OF USE AND SPONSOR'S PRIVACY POLICY.

      To complete your Purchase Entry, click the "Submit" button on the Website. (For clarity, purchase of Eligible Product alone will NOT result in receipt of Purchase Entry). Proof of inputting information at the Website (including uploading receipt with Eligible Product purchase) is not considered proof of delivery to or receipt by Sponsor or Administrator of a Purchase Entry. Receipt of Purchase Entry may be acknowledged but such acknowledgment does not constitute a representation by Sponsor or Administrator as to eligibility of a Purchase Entry or entrant and is not otherwise binding upon Sponsor or Administrator.

      All Purchase Entries must be received by 11:59 PM ET on September 16, 2026 to be eligible.

      In submitting a Purchase Entry, you represent and warrant that the Lunchly product purchase included as part of your entry was a legitimate household purchase from an authorized retailer of Sponsor's products.

      You are advised to maintain the original receipt establishing proof of purchase of Eligible Product(s), as Sponsor may condition prize award upon the provision of same as per Section 7 below.

      You may be asked to consent to receive promotional e-mails and reminder e-mails from Sponsor. Consenting to receive promotional e-mails and reminder e-mails is optional and does not have to be agreed upon in order to be eligible to participate in the Sweepstakes and does not improve your chances of winning. In the event you do consent to receive these e-mails, the use of such e-mails shall be subject to the Privacy Policy of the Sponsor (https://lunchly.com/policies/privacy-policy) and you may opt out of receiving these e-mails at any time.

      Purchase Entry will NOT be valid if (a) the proof of purchase is corrupted, inaccessible, garbled, unreadable, not genuine, jumbled, irregular or otherwise unacceptable; (b) the Eligible Products purchase was not made during the Purchase Period; (c) the proof of purchase is not included at time of submission of the entry form (piecemeal or partial submissions will not be accepted); or (d) the Eligible Products were received in exchange for the return of other product(s). Any attempt to forge a proof of purchase will not result in Purchase Entry and may constitute tampering/fraud as per Section 9 below. By entering this Sweepstakes, Entrants agree to these Official Rules and the decisions of the Administrator and Sponsor, which are binding and final in all matters relating to this Sweepstakes.

      Entries that are incomplete, garbled, corrupted, improperly recorded (or not recorded at all) or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted.

    2. Method #2: NO PURCHASE NECESSARY. Entry Without Purchase of Eligible Product ("Mail-In Entry"): To enter without purchasing Eligible Product(s), handprint your first name, last name, e-mail address (REQUIRED) and/or phone number (REQUIRED) on a 3"x5" index card and mail it in a sealed business-sized (#10) envelope with the proper postage affixed to: Meet MrBeast Sweepstakes, P.O. Box 1559, Social Circle, GA 30025-1559. Envelopes must be postmarked no later than September 16, 2026, and received by September 23, 2026 to be eligible for the drawing. To be eligible, Mail-in Entries must be postmarked from an address in the 50 U.S. or District of Columbia. All Mail-In Entries must be handwritten. Mechanical reproductions will not be accepted. Limit one (1) Mail-In Entry per outer mailing envelope. Proof of sending or mailing of Mail-in Entries will not be deemed to be proof of entry or proof of receipt by Sponsor or Administrator. Sponsor and Administrator are not responsible for lost, late, incomplete, damaged, stolen, delayed, invalid, unintelligible, illegible, misdirected or postage-due Mail-In Entries, all of which will be disqualified. Receipt of Mail-In Entries will not be acknowledged. Mail-In Entries become Sponsor's property and will not be returned.

    Purchase Entry and Mail-In Entry may be collectively referred to herein as "Entry" or "Entries."

    FOR ALL TYPES OF ENTRIES:

    Limit: three (3) Entries per person, per day during the Entry Period regardless of the method of entry and the number of e-mail addresses or accounts a person may have. For clarity, an entrant may use any combination of Purchase Entries or Mail-In Entries to achieve the maximum of three (3) Entries per day. Should an entrant submit more than three (3) Entries per day, all Entries in excess of the limit of three (3) Entries per day will be void. Entries generated by a script, macro, or other automated means or by any means that subverts the entry process will be disqualified.

    An entrant may receive one (1) Purchase Entry per Eligible Product purchased in a single transaction (maximum of three [3] per day‡) OR entrant may submit three (3) separate Purchase Entry submissions in a given day for separate qualifying transactions (i.e., each transaction containing at least one [1] Eligible Product‡). Each transaction may only be submitted once, regardless of how many Eligible Products were purchased. Violation of this limit will not result in Purchase Entry and may constitute tampering/fraud as per Section 9 below.

    Should a single qualifying transaction include the purchase of more than three (3) Eligible Products, such additional Eligible Product purchases will NOT result in Purchase Entry. For clarity, if an entrant has multiple separate qualifying transactions (i.e., multiple receipts) on the same day, they may "save" qualifying transaction(s) for submission as part of Purchase Entry during a later day in the Entry Period subject to compliance with the limit of three (3) Entries per day.

    IMPORTANT: Data rates may apply if Purchase Entry is submitted via your mobile device according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges as well as charges for wireless Internet access) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers' rate plans may vary, and you should contact your wireless carrier for more information on messaging/data rate plans and charges relating to your participation in this Sweepstakes. Mobile device service may not be available in all areas. Check your device's capabilities for specific instructions.

  6. Winner Selection and Odds: Potential winner will be selected from among all eligible entries received during the Sweepstakes Period in a random drawing conducted by the Administrator. The drawing will take place on September 24, 2026. The drawing will be conducted by the Administrator, an independent judging organization/administrator whose decisions are final and binding on all matters related to the Sweepstakes.

    Odds of winning depend on the total number of eligible entries received during the Entry Period.

  7. Winner Notification: Potential winner will be contacted by e-mail on or about September 24, 2026. Before being declared a winner ("Winner"), potential prize Winner will be required to complete, sign and return within three (3) days of notification (or such shorter period of time as indicated thereon) an Affidavit of Eligibility, Liability Release, Indemnification and Non-Disclosure Agreement ("NDA") (where legal), a Publicity Release, a tax acknowledgment, the necessary paperwork for a background check, as well as other documents that Sponsor may require (collectively the "Prize Claim Documents"). Should potential Winner have participated via Purchase Entry, Sponsor reserves the right to further condition prize award upon provision as part of Prize Claim Documents of acceptable proof of purchase of Eligible Product. Failure to return the completed and signed Prize Claim Documents within the indicated time period will result in disqualification, prize forfeiture and selection of an alternate potential Winner from among all remaining eligible entries received.

    In the event of any dispute concerning the identity of any entrant, the Entry will be deemed submitted by the natural person who is the authorized account holder of the e-mail address associated with the e-mail used for Entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

    THE WINNER WILL BE ISSUED AN IRS FORM 1099-MISC FOR TAX PURPOSES IN THE AMOUNT OF THE ACTUAL FAIR MARKET VALUE OF THE PRIZE (AS SET FORTH IN SECTION 8 BELOW) AND MUST SUBMIT THEIR SOCIAL SECURITY OR TAX ID NUMBER, AS APPROPRIATE, AS REQUIRED BY LAW, AND OTHERWISE FULLY COOPERATE WITH SPONSOR/ADMINISTRATOR SO THAT THEY MAY COMPLY WITH ANY AND ALL APPLICABLE GOVERNMENTAL REPORTING REQUIREMENTS IN CONJUNCTION WITH PRIZE AWARD. ALL FEDERAL, STATE, AND LOCAL INCOME TAXES INCURRED IN CONJUNCTION WITH ACCEPTANCE OF THE PRIZE ARE SOLELY THE RESPONSIBILITY OF THE WINNER.

  8. Prize, Approximate Retail Value ("ARV") and Odds: One (1) prize ("Prize") will be awarded. The Winner will receive merchandise (i.e., hat or MrBeast Feastables bar) signed by MrBeast (James Stephen Donaldson; exact items to be determined by Sponsor and MrBeast in their sole discretion). The Winner will also receive a trip for themselves and one (1) guest, where the Winner will have an opportunity to appear in a MrBeast produced video ("Trip"). But, if Winner does not wish to appear in MrBeast produced video for any reason, they will instead receive a Trip for themselves and one (1) guest to meet MrBeast (James Stephen Donaldson). In either case, the Trip destination will be a location of MrBeast's sole choosing in the 50 United States, U.S. Virgin Islands or Puerto Rico (location to be provided to winner at time of notification).

    ARV: $5,500.00. The ARV for the Prize is an estimate made before the Sweepstakes begins. In addition, ARV does not reflect re-sale or appraisal value of autographed merchandise. The actual value of the Prize will vary depending on point of departure, Trip destination and fluctuations of hotel rates and airfares. Any difference between the ARV and the actual cost of the Prize will not be awarded.

    Trip consists of a three-day/2-night trip for the Winner and one (1) guest and includes: (a) round-trip coach air transportation for two (i.e. Winner and guest ["Guest"]) from the major commercial airport closest to winner's residence (as determined by Sponsor in its sole discretion) to a location as selected by MrBeast (as discussed above) ("Destination City"); (b) two (2) nights hotel accommodations (one (1) standard room with double occupancy) at a hotel in Destination City or the surrounding area to be selected by Sponsor, at its sole discretion; and (c) round-trip ground transportation between Destination City-area airport and the hotel and between hotel and venue for filming of MrBeast produced video or meeting MrBeast (James Stephen Donaldson) as applicable.

    ADDITIONAL PRIZE CONDITIONS:

    Sponsor will provide Prize winner with optional travel dates that align with MrBeast's (James Stephen Donaldson's) schedule. Trip must be completed within one (1) year from date Winner is confirmed but no later than September 30, 2027. Travel dates subject to approval by Sponsor in its sole discretion. Winner may not receive their first choice of travel dates. All travel dates and arrangements are subject to change, availability and other restrictions. Once travel is booked, travel dates cannot be changed unless by Sponsor in its sole discretion. If Winner is unable to travel once the travel dates are booked, the Prize will be forfeited in its entirety and Sponsor will have no obligation to the Winner.

    If Winner's residence is within one hundred (100) miles of Destination City as determined by Administrator in its sole discretion, ground transportation will be provided in lieu of air travel and no substitute prize or compensation will be awarded.

    If Guest is at least eighteen (18) years of age (or age of majority in their jurisdiction of residence, whichever is older), they must also complete, sign and return the necessary paperwork for a background check. If Guest is a Minor, they must be accompanied by their parent or legal guardian who must be the Winner.

    Sponsor reserves the right to condition award of Prize upon the results of a background check on Winner and their Guest (if applicable). The background check will only be conducted on Guest if they are at least the age of majority in their jurisdiction of residence.) Winner and Guest, agree to fully cooperate in the conduct of such background check, timely providing any additional materials, information and consents requested by Sponsor or Administrator, with the understanding that Sponsor may refrain from awarding the Prize to Winner (or, allowing Guest to accompany Winner on the Trip, as the case may be) without liability of any kind if Sponsor determines in its sole discretion that the past conduct of Winner and/or Guest would disparage or adversely affect the goodwill and business reputation of Sponsor, its products, Beast Industries, its products/services or pose a threat or risk of any kind to MrBeast (James Stephen Donaldson) himself. Winner (and Winner's parent/legal guardian if Winner is a Minor) and their Guest, to the extent applicable, further understand and agree that any decision by Sponsor as to the results of a background check is final and binding.

    If Winner chooses to accept the Prize without a Guest (or if Guest does not return Release of Liability/Publicity Release, NDA (where legal) and the necessary paperwork for a background check, if applicable as discussed above), Winner will only receive Prize in increments appropriate for themselves and no substitute prize or compensation will be awarded.

    Participation/duration of MrBeast's (James Stephen Donaldson's) attendance of Trip event is subject to availability. Sponsor's representative(s) and other individuals may also be present at all times. If MrBeast is not available for any reason, the entire liability of Sponsor and Administrator will consist of the remaining elements of the Prize. Conversely, should MrBeast (James Stephen Donaldson) participate in Trip, MrBeast may (or may not) in his sole discretion autograph additional items for Winner and Guest and/or pose for videos or photographs for Winner and Guest.

    Winner and Guest must conduct themselves at all times in an appropriate, well-behaved and socially responsible manner during the Trip. In addition, Winner and Guest must act in a respectful and courteous manner toward MrBeast (James Stephen Donaldson) as well as following all instructions, which may include one or more of the following: a prohibition on recording; agreement to be recorded; signing a confidentiality agreement; wearing appropriate attire. Should Winner choose to be in a MrBeast produced video as the Prize, additional requirements will apply including following all instructions on the video's director and production staff. Any violation of the preceding requirements may result in immediate termination of Trip without liability of any kind to Sponsor or any of its affiliated entities or Administrator, as well as exposing Winner and Guest to potential legal liability.

    Should Winner choose to be in a MrBeast produced video: (i) appearance is limited to Winner and excludes Guest; and (ii) as between any related MrBeast entity on the one hand and Winner on the other, such entity shall own any and all right, title and interest in and to MrBeast produced video, with Winner agreeing to complete, sign and return any and all documents as such entity may require so as to perfect, effect or record its ownership rights in and to MrBeast produced video upon request and without compensation/consideration of any kind other than the Prize.

    Winner is solely responsible for all other expenses related to the Trip not specified herein, including but not limited to baggage fees, meals, beverages, tips, taxes, and travel insurance. Winner and Guest must travel together on specified itinerary, including same departure location and date, and return location and date or applicable trip may be forfeited in its entirety. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. Airline travel may not be direct and may include stopovers. All airline tickets are subject to the vagaries of flight variation, work stoppages, and schedule or route changes. Sponsor is not liable for any expenses incurred as a consequence of flight cancellation/delay. Certain documentation and requirements may be necessary for travel, such as valid photo identification and/or passport. Winner and their Guest are solely responsible for any documentation and requirements and determining applicable procedures and restrictions prior to departure. Winner and guest must provide their own transportation to and from their departure airport. Winner and Guest must comply with any applicable hotel check-in requirements, such as presentation of photo identification and a major credit card (and should Winner not have a credit card/payment instrument with sufficient available credit/funds to pay for a hotel stay of two (2) nights (or in such other amount as prescribed by hotel), Winner agrees to sign additional documents and/or take other steps prescribed by Sponsor and/or Administrator, upon request and without compensation of any kind, so as to protect Sponsor and Administrator from incurring any liability for damage to the hotel room/hotel property caused during the hotel stay by Winner and their Guest.) Accommodations and travel are for up to two (2) persons sharing one (1) accommodation only. No additional guests are permitted to participate in the Trip or stay in the accommodations booked by Sponsor and/or Administrator (even if Winner pays for all costs/expenses associated with such additional guest(s)). Winner and Guest will not receive frequent flier miles, award points or other prerequisites in conjunction with Prize travel. Sweepstakes Entities are not liable for any expenses incurred as a consequence of flight cancellation/delay. Airfare may not include government taxes, Passenger Facility Charge or September 11th Security Fee. All airline tickets are subject to the vagaries of flight variation, work stoppages, and schedule or route changes.

    No substitution or transfer of prize (or portion thereof) except with Sponsor's permission or where required by law. If for any reason any announced prize (or portion thereof) becomes unavailable for any reason, Sponsor in its sole discretion may award a substitute prize/prize component of equal or greater value (except as otherwise indicated herein). Prize is not redeemable for cash.

  9. General Rules: By participating in the Sweepstakes, entrants agree to be bound by these Official Rules and the decisions of the Sponsor and Administrator. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. The Sponsor and its agencies (including Administrator) are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in any of the websites or the Sweepstakes, including but not limited to, and to the fullest extent permitted by applicable law, the ability to access the Website, any error, malfunction or failure of any kind or for any liability for damage to any computer system resulting from participation in, accessing, or downloading information on any websites or in connection with the Sweepstakes. To the fullest extent permitted by applicable law, Sponsor and Administrator are not responsible for the failure of any Entry to be received or recorded by Sponsor/Administrator on account of technical problems or congestion on the internet or at any website. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Sweepstakes; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes or to defraud Sponsor and/or Administrator may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. By participating in the Sweepstakes, to the fullest extent allowed by law, entrants agree that Sponsor, Administrator, and each of their respective parents, subsidiaries, affiliated companies, agents, retailers, advertising and Sweepstakes agencies and all of their respective shareholders, officers, directors, employees and assigns, members, representatives and agents, as well as MrBeast [James Stephen Donaldson] personally) will have no liability whatsoever for, and will be held harmless by entrant for any liability for any bodily injury, loss, cost or damages of any kind to persons, including death and property damages sustained due in whole or in part, directly or indirectly, from Entry, the acceptance, possession, use or misuse of the Prize or participation in the Sweepstakes or participation in any Sweepstakes or related activity. By entering the Sweepstakes, you hereby represent and warrant that you have read these Official Rules and are fully familiar with its contents.
  10. Force Majeure: Administrator and Sponsor reserve the right to postpone, cancel, suspend or otherwise modify the Sweepstakes due to natural cataclysm, pandemic/epidemic, fraud, unauthorized human intervention, riot, strike, civil commotion, governmental action, materials shortage or any other occurrence beyond their reasonable control. In such case, to the extent feasible, Administrator and Sponsor will endeavor to conduct the Sweepstakes and make the Prize available in a manner determined by Administrator/Sponsor in their sole discretion to be fair, appropriate and consistent with these Official Rules. Notice of such action by Administrator/Sponsor will be posted on the Website.
  11. Governing Law: The Sweepstakes and these Official Rules shall be governed by the law of the Commonwealth of Kentucky (without regard to principles of choice of law/conflict of law) and, by participating in the Sweepstakes, you agree to the exclusive jurisdiction of the federal or state courts of the Commonwealth of Kentucky.
  12. MANDATORY INFORMAL DISPUTE RESOLUTION PROCESS: If an Entrant has a "Dispute" (as defined below) with Sponsor relating to this Sweepstakes, they shall first provide Sponsor with written notice ("Notice") sent to the following address: 13551 Triton Park Blvd, Louisville, KY 40223. A Notice must include all of the following: (1) a detailed description of the Dispute; (2) the nature and basis of the claim(s); (3) the nature and basis of the specific relief sought and a detailed calculation for that relief; and (4) information sufficient for Sponsor to evaluate your claim. Any Notice you submit must be signed by you. You and we agree to negotiate in good faith in an effort to resolve any Dispute. This should lead to resolution, but if for some reason the Dispute is not resolved satisfactorily within sixty (60) days after receipt of a compliant Notice, you and we agree to the further dispute resolution provisions below. Both you and we agree that this informal dispute resolution process is mandatory and a condition precedent that must be satisfied before initiating any formal dispute resolution proceeding. Any applicable statute of limitations will be tolled for sixty (60) days from the time a fully compliant Notice is served on the other party unless the parties mutually agree to extend that period.
  13. BINDING INDIVIDUAL ARBITRATION: You agree that the sole and exclusive forum and remedy for any and all disputes, actions, claims, or other controversies between you and Sponsor that cannot be resolved informally and that relate in any way to or arise out of the Sweepstakes ("Dispute") shall be final and binding arbitration. Dispute shall have the broadest possible meaning permitted by law. Notwithstanding the foregoing, either party may bring an individual action in small claims court. You and we acknowledge that these Official Rules affect interstate commerce and that the Federal Arbitration Act and federal arbitration law apply to arbitrations under these Official Rules (despite any other choice of law provision). YOU AND SPONSOR BOTH AGREE THAT, WHETHER ANY CLAIM IS IN ARBITRATION OR IN COURT, YOU AND SPONSOR BOTH WAIVE ANY RIGHT TO A JURY TRIAL INVOLVING ANY CLAIMS OR DISPUTES BETWEEN US TO THE FULLEST EXTENT PERMITTED BY LAW.

    Arbitration under this Sweepstakes shall be administered by the American Arbitration Association (the "AAA"). The applicable AAA Consumer Arbitration Rules and AAA Mass Arbitration Supplementary Rules shall apply, as modified by these Official Rules. If you initiate arbitration, the applicable AAA rules will govern the payment of fees unless applicable law requires a different allocation of fees in order for this arbitration provision to be enforceable. If you are unable to pay your share of the AAA fees, we will consider a request to pay them on your behalf so long as you have fully complied with the informal dispute resolution process as set forth above.

    The arbitration will be conducted before a sole neutral arbitrator who shall be located at or near the location where the arbitration will take place. The arbitration will be conducted at a location that is reasonably convenient for you.

    All issues are for the arbitrator to decide including, but not limited to, (i) all issues regarding arbitrability, (ii) the scope and enforceability of this arbitration provision as well as the Official Rules' other terms and conditions, (iii) whether you or Sponsor, through litigation conduct or otherwise, waived the right to arbitrate, (iv) whether all or any part of this arbitration provision or these Official Rules are unenforceable, void or voidable including, but not limited to, on grounds of unconscionability, (v) any dispute regarding the payment of arbitration-related fees, (vi) any dispute related to the Mandatory Informal Dispute Resolution Process section (above), and (vii) any dispute related to Mass Arbitration (defined below). Pursuant to these Official Rules, the arbitrator has been delegated with, and possesses, exclusive authority to resolve all of the above-enumerated types of disputes.

    The award of the arbitrator may require payment of the costs, fees, and/or expenses incurred by the prevailing party consistent with applicable law and the applicable AAA rules. The provisions of Fed. R. Civ. P. 68 may be applied by the arbitrator. The arbitrator shall be bound by these Official Rules as a court would, shall follow applicable law, and shall issue a reasoned, detailed decision explaining the essential findings and conclusions on which the award is based.

    INDIVIDUAL RELIEF AND CLASS ACTION WAIVER: The parties agree that the arbitrator may award the same relief available in court provided that such relief (including declaratory or injunctive relief) shall only be in favor of the individual party seeking relief and only to the extent necessary to provide the relief warranted by that party's individual claim. YOU AGREE THAT YOU BRING CLAIMS AGAINST SPONSOR ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. FURTHER, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE ANY PERSON'S OR ENTITY'S CLAIMS WITH THOSE OF ANOTHER PERSON OR ENTITY AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. IF AFTER EXHAUSTION OF ALL APPEALS ANY OF THESE PROHIBITIONS ON NON-INDIVIDUALIZED RELIEF; CLASS, REPRESENTATIVE, COLLECTIVE, AND PRIVATE ATTORNEY GENERAL CLAIMS; AND CONSOLIDATION IS FOUND TO BE UNENFORCEABLE AS TO A PARTICULAR CLAIM OR WITH RESPECT TO A PARTICULAR REQUEST FOR RELIEF (SUCH AS A REQUEST FOR INJUNCTIVE RELIEF), THEN YOU AGREE THAT SUCH A CLAIM OR REQUEST FOR RELIEF SHALL BE DECIDED BY A COURT AFTER ALL OTHER CLAIMS AND REQUESTS FOR RELIEF ARE ARBITRATED.

    ADDITIONAL PROCEDURES FOR MASS ARBITRATION FILINGS:

    YOU AND SPONSOR AGREE THAT IN THE EVENT MASS ARBITRATION IS ATTEMPTED OR SOUGHT, SUCH ARBITRATION SHALL BE RESOLVED USING THE AAA MASS ARBITRATION SUPPLEMENTARY RULES IN STAGES USING STAGED BELLWETHER PROCEEDINGS IF THEY ARE NOT RESOLVED PRIOR TO ARBITRATION AS SET FORTH ABOVE EXCEPT TO THE EXTENT THEY ARE MODIFIED BY THE FOLLOWING RULES:

    1. For purposes of these Official Rules, "Mass Arbitration" means 25 or more arbitration demands that: (i) are filed within 180 days of each other, (ii) allege similar or identical claims or causes of action, and (iii) either (a) the parties to those arbitration demands seek to simultaneously or collectively administer and/or arbitrate together, or (b) are filed by the same counsel or in coordination with each other.
    2. In the event that Mass Arbitration is attempted or sought involving 25 arbitration demands or more, you and Sponsor agree that the arbitrator shall group the arbitration demands into batches of no less than 25 arbitration demands per group and provide for resolution of each group or batch as a single arbitration with one set of filing and administrative fees and a single arbitrator assigned per group or batch. All Mass Arbitration shall be subject to all other substantive and procedural terms contained within this Agreement and the AAA Mass Arbitration Supplementary Rules.
    3. You and Sponsor agree to cooperate in good faith with AAA to implement the aforementioned protocol for Mass Arbitration with regard to resolution, fees, and administration.
    4. If any part of this section on Mass Arbitration is found to be unenforceable, the unenforceable portion shall be stricken, and the remainder of this section on Mass Arbitration and these Official Rules shall be enforced to the maximum extent permitted by law.
    5. In the event AAA is unwilling or unable to follow the procedures set forth herein with regard to Mass Arbitration, the parties may attempt to retain a different, mutually agreeable and widely recognized arbitration organization that will agree to follow the procedures set forth herein. In the event that the parties are unable to retain or agree to such an alternative arbitration provider, the alternative dispute resolution provisions set forth in these Official Rules shall not apply to those demands within the Mass Arbitration.

    A court shall have the authority to enforce this provision and, if necessary, to enjoin the filing or prosecution of arbitrations.

    OPTING OUT OF ARBITRATION: IF YOU DO NOT WISH TO BE BOUND BY THIS ARBITRATION PROVISION, YOU MUST NOTIFY SPONSOR IN WRITING WITHIN THIRTY (30) DAYS OF THE DATE THAT YOU FIRST HAD NOTICE OF THESE OFFICIAL RULES CONTAINING AN ARBITRATION PROVISION. THIS IS NOT A NEW OPT OUT RIGHT IF YOU WERE PREVIOUSLY BOUND BY AN ARBITRATION PROVISION. YOUR WRITTEN NOTIFICATION TO SPONSOR MUST BE SENT VIA MAIL TO 13551 TRITON PARK BLVD, LOUISVILLE, KY 40223. IT MUST INCLUDE YOUR NAME AND ADDRESS AS WELL AS A CLEAR STATEMENT THAT YOU DO NOT WISH TO RESOLVE DISPUTES WITH SPONSOR THROUGH ARBITRATION. YOUR DECISION TO OPT OUT OF THIS ARBITRATION PROVISION WILL HAVE NO ADVERSE EFFECT ON YOUR PARTICIPATION IN THIS SWEEPSTAKES. IF YOU HAVE PREVIOUSLY NOTIFIED SPONSOR OF YOUR DECISION TO OPT OUT OF ARBITRATION, YOU DO NOT NEED TO DO SO AGAIN. ANY OPT OUT RECEIVED AFTER THE THIRTY (30) DAY TIME PERIOD WILL NOT BE VALID.

    Notwithstanding any provision in these Official Rules to the contrary, the parties agree that if we make future changes to this arbitration provision, except for changes to the Notice address, you may reject such changes by sending us written notice within thirty (30) days of the change to 13551 Triton Park Blvd, Louisville, KY 40223. This is not an opt-out of arbitration altogether. By rejecting any future changes, you are agreeing that you will arbitrate any Dispute in accordance with the language of this provision.

    In no event shall any claim, action or proceeding by you related in any way to these Official Rules be instituted more than one (1) year after the cause of action arose to the fullest extent permitted by law.

  14. Construction: The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable by a court of competent jurisdiction, these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.
